CoachSMART Terms and Conditions

1. Acceptance of Terms

Welcome to CoachSmartApp, a product of GOLD Sports Training LLC (“Company,” “we,” “us,” or “our”).

By downloading, installing, accessing, or using the CoachSmartApp mobile application and related services (collectively, the “App” or “Services”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you may not access or use the App.

These Terms constitute a legally binding agreement between you and GOLD Sports Training LLC. We may update these Terms periodically. Continued use of the App after changes become effective constitutes acceptance of the revised Terms.

2. Eligibility and User Accounts

A. Age Requirements

  • You must be at least 13 years old to use the App.
  • Users under 18 must have consent from a parent or legal guardian.
  • Coaches registering athletes under 18 are responsible for obtaining all required parental or guardian consent before adding minors to the platform.

B. Account Registration

To access certain features, you must create an account. You agree to:

  1. Provide accurate, current, and complete registration information.
  2. Maintain and promptly update your information.
  3. Keep your password secure and confidential.
  4. Notify us immediately of any unauthorized use of your account.
  5. Accept responsibility for all activities that occur under your account.

3. Description of Services

CoachSmartApp provides tools and resources designed to support coaches, athletes, and families, including:

  • Communication tools between coaches, athletes, and families
  • Goal setting and progress tracking
  • Mental performance tools and interactive exercises
  • Schedule management and event tracking
  • Performance monitoring and achievement tracking
  • LIT Laser System integration (when available)
  • Newsletters, announcements, and community updates

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time, with or without notice.

4. User Conduct and Responsibilities

A. Acceptable Use

You agree to use the App lawfully and responsibly.

You may not:

  1. Use the App for unlawful, harmful, or fraudulent purposes.
  2. Post or transmit abusive, threatening, harassing, defamatory, or offensive content.
  3. Impersonate another individual or entity.
  4. Upload malicious software, viruses, or harmful code.
  5. Attempt unauthorized access to the App or its systems.
  6. Scrape, harvest, or collect data without written authorization.
  7. Send unsolicited commercial communications (“spam”).

B. Coach Responsibilities

If you register as a coach, you agree to:

  1. Communicate responsibly with athletes and families.
  2. Comply with all applicable laws regarding minors.
  3. Obtain proper parental consent before adding athletes or guardians.
  4. Ensure communications remain professional, appropriate, and in the athlete’s best interest.

5. Privacy and Data Collection

Your use of CoachSmartApp is also governed by our Privacy Policy, which is incorporated into these Terms.

By using the App, you consent to the collection, use, and sharing of information as described in the Privacy Policy.

Information We Collect

We may collect:

  • Registration information
  • Messages and communications
  • Performance-related information
  • Device and usage data

How We Use Information

We use collected information to:

  • Provide and improve our Services
  • Facilitate communication
  • Personalize user experiences
  • Deliver relevant content and updates

Information Sharing

We may share information with trusted service providers who assist in operating the App, subject to confidentiality and security obligations.

6. Parental Consent and Minor Users

Because CoachSmartApp may be used by minors, parents and guardians play an important role.

Coaches are responsible for obtaining verifiable parental consent before adding users under 18 years old.

Parents and guardians may contact us at any time to:

  • Review their child’s information
  • Request modifications
  • Request deletion of account information

7. Intellectual Property

A. Ownership

All content, software, technology, training systems, methodologies, drills, exercises, graphics, videos, branding, trademarks, service marks, frameworks, curriculum, designs, and materials available through CoachSmartApp (“Company Content”) are the exclusive property of GOLD Sports Training LLC and its licensors.

This includes, but is not limited to:

  • CoachSMART branding
  • GOLD Sports Training LLC branding
  • LIT/Laser training concepts
  • Proprietary training systems
  • Platform functionality and designs

B. Restrictions

Without written permission, you may not:

  • Copy
  • Reproduce
  • Distribute
  • Modify
  • Create derivative works
  • Publicly display
  • Republish
  • Sell
  • License
  • Reverse engineer
  • Scrape
  • Exploit commercially

Any Company Content.

C. Proprietary Training Systems

You may not duplicate, imitate, reproduce, or commercially recreate the Company’s proprietary training systems, methodologies, drills, exercises, or platform functionality without prior written consent.

D. Enforcement

Unauthorized use may result in:

  • Account suspension
  • Account termination
  • Legal action

8. Disclaimers and Limitation of Liability

A. No Medical or Professional Advice

CoachSmartApp provides educational, motivational, and informational content only.

Nothing provided through the App constitutes:

  • Medical advice
  • Psychological treatment
  • Professional sports advice
  • Healthcare recommendations

Always consult qualified professionals regarding health, mental health, or athletic performance decisions.

B. Mental Performance and Wellness Disclaimer

CoachSmartApp may provide resources related to:

  • Mental performance
  • Focus
  • Confidence
  • Motivation
  • Nervous system regulation
  • Mindset training
  • Athletic wellness

These resources are provided solely for educational and informational purposes.

They do not constitute:

  • Medical advice
  • Psychological treatment
  • Psychotherapy
  • Psychiatric services
  • Crisis counseling
  • Mental health treatment
  • Diagnosis of any condition

CoachSmartApp and GOLD Sports Training LLC are not licensed healthcare providers, psychologists, psychiatrists, therapists, or medical professionals.

Users experiencing mental health concerns, emotional distress, medical conditions, or emergencies should seek assistance from qualified professionals immediately.

Use of wellness-related content is entirely voluntary and at your own risk.

C. Coach Disclaimer and Independent Contractor Status

CoachSmartApp is a technology platform only.

Coaches, trainers, and service providers using the platform are independent users and are not:

  • Employees
  • Agents
  • Representatives
  • Partners
  • Contractors

of GOLD Sports Training LLC.

CoachSmartApp does not:

  • Employ coaches
  • Supervise coaches
  • Certify coaches
  • Endorse coaches
  • Guarantee coach qualifications

We do not verify:

  • Certifications
  • Licenses
  • Backgrounds
  • Expertise

Users interact with coaches and trainers at their own risk.

GOLD Sports Training LLC is not responsible for:

  • Injuries
  • Damages
  • Losses
  • Misconduct
  • Negligence
  • Inaccurate advice
  • Disputes between users and coaches

D. Disclaimer of Warranties

THE APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLD SPORTS TRAINING LLC DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

AND ANY OTHER EXPRESS OR IMPLIED WARRANTIES.

E. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLD SPORTS TRAINING LLC SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • SPECIAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • PUNITIVE DAMAGES

INCLUDING LOSS OF:

  • DATA
  • PROFITS
  • REVENUE
  • BUSINESS OPPORTUNITIES

OR FOR PERSONAL INJURY ARISING FROM USE OF THE APP OR SERVICES.

If liability is imposed, the Company’s total liability shall not exceed the amount actually paid by you for the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless GOLD Sports Training LLC and its officers, directors, employees, agents, licensors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you submit or transmit through the App

10. Third-Party Links and Services

The App may contain links to third-party websites, products, or services.

These links are provided solely for convenience.

We do not control, endorse, or assume responsibility for:

  • Third-party content
  • Privacy practices
  • Availability of services

Your interactions with third parties are governed by their own terms and policies.

11. Termination

We may suspend or terminate your account at our sole discretion if we believe your conduct:

  • Violates these Terms
  • Violates applicable law
  • Harms users or third parties
  • Is fraudulent, deceptive, or inappropriate

You may terminate your account at any time by contacting us.

Upon termination, your right to use the App immediately ceases.

Any provisions intended to survive termination shall remain in effect.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations.

13. Arbitration, Class Action Waiver, and Jury Trial Waiver

A. Binding Arbitration

Any dispute arising out of or relating to these Terms, the App, or the Services shall be resolved exclusively through binding arbitration, except for qualifying small claims matters.

B. Arbitration Administration

Arbitration shall be administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules.

Unless otherwise required by law, arbitration shall occur in Los Angeles County, California.

C. Class Action Waiver

You and GOLD Sports Training LLC agree that disputes shall be resolved only on an individual basis.

You waive any right to participate in:

  • Class actions
  • Class arbitrations
  • Collective actions
  • Representative proceedings
  • Private attorney general actions

D. Jury Trial Waiver

Both parties knowingly waive the right to a trial by jury.

E. Injunctive Relief

GOLD Sports Training LLC may seek injunctive or equitable relief in any court of competent jurisdiction to protect:

  • Intellectual property
  • Confidential information
  • Platform security

F. Severability

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain enforceable.

15. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision shall not constitute a waiver of that provision.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and GOLD Sports Training LLC regarding use of CoachSmartApp and supersede all prior agreements, communications, and understandings.
